These Terms of Service (“Terms”) govern your access to and use of the websites, software, and services provided by Cobalt Cypress LLC (“Cobalt Cypress,” “we,” “us,” or “our”), including Estimate Mirror (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, submitting a form, or otherwise using our Services, you represent that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them.

2. Description of Services

Cobalt Cypress LLC provides software-as-a-service (SaaS) products for the automotive collision repair industry, including Estimate Mirror, an OCR-based data extraction tool. The Services are subject to change at any time with reasonable notice.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@cobaltcypress.com of any unauthorized use.

4. Subscription and Payment

Subscription fees are billed monthly and are non-refundable except as required by law. We reserve the right to change pricing with at least 30 days’ notice. You may cancel at any time; cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to use our Services to violate any applicable law, infringe third-party rights, transmit harmful content, reverse engineer our software, gain unauthorized access to our systems, or resell the Services without written authorization.

6. SMS Communications

By providing your phone number and opting in, you agree to receive SMS messages as described in our Privacy Policy. Reply STOP to opt out. Reply HELP for assistance. Message and data rates may apply. SMS consent is not shared with third parties.

7. Intellectual Property

All content, features, software, and functionality of our Services are owned by Cobalt Cypress LLC. You retain ownership of data you upload; by uploading, you grant us a limited license to process that data to provide the Services.

8. Data and Privacy

Our collection and use of your personal information is governed by our Privacy Policy, incorporated herein by reference.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COBALT CYPRESS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Cobalt Cypress LLC from any claims arising out of your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access at any time for violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of South Carolina. Disputes shall be resolved in the state or federal courts of South Carolina.

14. Changes to Terms

We may modify these Terms at any time. Continued use after changes constitutes acceptance.
